Thrings completes sale of telephony specialists Ivocom Ltd to GCC

Corporate lawyers from Thrings have completed the sale of leading telephony products and services provider and IP infrastructure specialists Ivocom Ltd to IT solutions and services company, GCC.

Ivocom Ltd, which was founded in Swindon in 2006 by a group of engineers from MessageLabs (now part of Symantec), delivers highly technical Voice over Internet Protocol (VoIP) telephony, CCTV and network expertise to customers across the UK and Europe.

Specialising in cloud telephony and IP CCTV systems, Ivocom Ltd also provides a wide range of connectivity services, including voice and data traffic over LAN and WAN networks, fibre optic internet lease lines, internet-based SIP trunks, telephone call bundles, mobile voice and data sims.

GCC is a leading provider of IT consultancy, Microsoft and Sage software solutions, cloud services and support to small and medium-sized businesses. It has four UK offices in Birmingham, Bristol, London and Gloucester.

The acquisition will create a communications division that will enhance GCC’s offerings to SME customers, including the delivery of Ivocom’s MXCloud and Microsoft’s 365 Business Voice telephony solutions.

Vincent Salva, CEO of Ivocom Ltd, received legal, commercial and strategic advice from John Davies, partner and head of corporate at Thrings, who reviewed and negotiated the share purchase agreement and carried out the disclosure exercise.

Vincent Salva said: “This is a great opportunity for Ivocom and GCC teams to integrate and work together to deliver state-of-the-art telephony solutions for the whole SME customer base. We are excited to combine our skills in telephony and CCTV with the remit GCC has to offer our existing customers, essentially a complete package of IT services and technology solutions.

“John Davies was instrumental in arriving at a practical deal to satisfy all parties, and is certainly someone to have on your team.”

John Davies said: “A great deal, struck by two business leaders with client values at the heart of everything they do. It was fantastic working alongside Vincent. His drive, coupled with his knowledge of the business and its customers, helped us deliver this deal in double-quick time, notwithstanding the extraordinary events brought on by Covid.”

Chris Harthman, chief executive of GCC, added: “The acquisition of Ivocom extends our leading portfolio of services and solutions. GCC can now deliver all the technology requirements that a modern SME would need to complete their digital transformation and their journey into cloud-based IT infrastructure.”

The Ivocom Ltd deal marks the latest in a series of strategic purchases by GCC and follows the acquisition of Sage specialists CentrePoint Software in 2017 and Microsoft Dynamics experts Perfect Dynamics in 2018.

GCC received legal advice corporate lawyers at the Gloucester office of regional law firm, Davies and Partners.
